Usage Terms for the Website of Halman-Aldubi Group

Welcome to the website of the Halman-Aldubi Group (each of the companies - Halman-Aldubi Finances Ltd. and/or any of its affiliates, which for the convenience of these Terms each of them shall be referred to as the "Company"), at the address www.hag.co.il.  The site and the various services provided therein and/or by means thereof from time to time are offered for your use, subject to the usage terms set forth below ("Usage Terms").
The Usage Terms on the site are written in the masculine gender for reasons of convenience only.  They are intended for both men and women.

Usage Terms for the Websites of the Halman-Aldubi Group
The Company reserves for itself the right to alter or add to the Usage Terms for the Site.  You (the "User") are fully responsible for familiarizing yourself and complying with the Usage Terms on the website at all times. You do not have to agree with the Usage Terms for the site, however use of the site constitutes such agreement and is an undertaking to act in accordance therewith.  If you do not agree to the terms you must refrain from any use whatsoever of the website.

1. The website is intended mainly to publish information on the Company and its activities, to provide information and services to the Company's clients, to provide general information to the broad public on matters relevant to the Company's activities and to serve as a platform for general information on topics concerning pension saving, including provident funds, study funds, pension funds, as well as mutual funds and investment portfolios.
    
2. The information contained on the site is not a substitute for counseling and no action may be taken in accordance therewith, but only after obtaining personal counsel taking account of each person's individual needs and data, as well as:
   2.1 The information on this site should not be viewed as investments and/or pension counseling/marketing and/or as a substitute for such counseling/marketing that takes account of the special needs and data of each person.
    2.2 The information on this site should not be viewed as a recommendation to invest and/or execute any operations and/or transactions and/or deposits whatsoever.
    
3. The data and/or information published on this website (the "Information") have been obtained partly from third parties, including from other sites and appear on the site "as is".  The Information could change from time to time and therefore the User must take into account that after publication of the Information changes might occur therein which will not find immediate expression on the site.
    
4. To the Company's best knowledge, the Information appearing on this site is well-established, reliable and correct.  At the same time, the Company does not and cannot assure the extent to which the Information is accurate, complete, up to date and suitable for any specific requirement.

In the event of any contradiction or discrepancy between the Information appearing on the site and Information appearing in the Company's official publications and/or which is recorded in its books, the Information recorded in the Company's official publications or its books, as the case may be, shall prevail.

No illegal, immoral or irrelevant material may be uploaded and/or sent to or by means of this site.  Without derogating from the aforesaid, the Company shall have the right, but shall not be obligated, to remove or edit messages which, at its exclusive discretion, do not comply with the above requirements.
   
   Non-Liability

The company, its shareholders, representatives, employees and executives are not liable and shall bear no liability of any kind whatsoever for any loss or damage which might be caused, directly or indirectly, as a result of Information appearing on the site, or omitted from the site, non-consecutive appearance of the site on the Internet, including total discontinuation of the site, as well as acts or omissions by third parties involved in setting up and preparing the site and/or preparing the Information published thereon or the data on which it is based.

The company, its shareholders, representatives, employees and executives shall not be liable in any way whatsoever for legal claims deriving from the Information published on this website, and shall not be liable vis-á-vis any party in connection with the use that may be made of the Information published on this website or due to the inability to use the Information on the site.  The User undertakes to indemnify the company, its shareholders, representatives, employees and executives for any damage, loss, payment and/or expense (including attorneys' fees and court costs) that they may incur due to the breach of the Usage Terms of the site or unauthorized use of the site or the Information therein.

The Company reserves for itself the right to remove and/or amend and/or alter and/or add any part of the Information available on the site from time to time, on dates determined by the Company, and for that purpose also to discontinue the operation of the site from time to time for maintenance purposes.  The User neither has nor will have any complaint vis-á-vis the Company due to activity of this kind.  Furthermore, the Company reserves for itself the right to alter the address of the site from www.hag.co.il to any other or additional address which it shall announce.  The Company is not responsible for any damage whatsoever that might be caused due to use of the site, changes in response time, unavailability of the site or any of the services provided therein.
     
11. The Company is not liable for any damage that might be caused resulting from viruses, worms, Trojan horses, software applications, break-ins and/or any damage to information security devices used by the Company.
     
12. The site may contain links to other sites operated by third parties which the User can reach by using the site ("Linked Sites").  The Company has no control over these links and it does not undertake that all links found on the site will be operational and will lead to an active website.
     
13. Links to websites may not be construed as the Company's endorsement, effect, approval, recommendation or preference for or of such Linked Sites, their content, operators or the products and services presented therein
     
14. The Company is not responsible for the content appearing on the Linked Sites, for the use of or reliance on the information appearing thereon and the services and products offered therein or in the advertisements thereon.
     
15. The website could enable the transfer and/or publication of messages by surfers.  These messages are on the sole responsibility of the senders, and the companies in the company, its shareholders, representatives, employees and executives shall bear no liability in respect thereof.
    
    Preserving and Taking Care of Means of Access
16. The use of the Internet and electronic mail is unprotected and exposes the User to risks deriving from the structure of the Internet and the use of a personal computer and/or any other end equipment enabling access to the Internet ("Personal Computer").  Your attention is drawn to the fact that the User is responsible for all consequences of unauthorized use of passwords and of other information security measures given to him and of his Personal Computer.  The User must keep passwords and other means of information security in absolute secrecy and must prevent any unauthorized use thereof and/or of his Personal Computer.
    
    Intellectual Property
17. This site, the Information, the software that can be downloaded therefrom, and other elements published thereon, may be protected under copyright laws in Israel and abroad.
     
18. Unless stated otherwise, the site and all content thereof are designated for personal use only.  Excluding your own personal use as User, you undertake that you will neither make, nor allow anyone else to make any alteration and/or distortion and/or any action that might cause damage to the Information and/or content, the correctness and reliability thereof and/or to the name and/or reputation of the Company as owner of copyright therein, or of any other entity, including content providers, in the Information and/or content appearing on the site. The User undertakes not to transfer to any third party, whether or not for consideration, the content and/or any part thereof, not to publish any part, product and/or printout of the content, whether printed as text, diagram or report, or given as a file on magnetic means or in any other way, and not to reproduce, photograph, copy, broadcast or print any product and/or printout as aforesaid from the content or any part thereof for the purpose of distribution or publication in any way whatsoever.

    Privacy
20. The User is aware and he agrees that the Company might utilize software that accumulates and analyzes information on his activity on the site for the purpose of better suiting the service to his needs.

The User is aware and he agrees that, subject to the Protection of Privacy Law 5741-1981 and any other law, the Company has the right to transfer the Information given by the User to any third party, to the extent required, and at the Company's exclusive discretion, all for the purpose of providing efficient service to the User.
     
23. Nothing set forth in these conditions shall detract from the effect of any other agreement between Halman-Aldubi and the User.  Notwithstanding the aforesaid, the User agrees that transmitting information to or from the site does not create between him and Halman-Aldubi any connection or relationship deviating from that set forth in detail in these Usage Terms.
    
    Law and Jurisdiction
24. The use of the website shall be governed solely by the laws of the State of Israel.
     
25. Exclusive jurisdiction to hear any dispute connected with the website and the use thereof shall be vested in the courts of the District of Tel Aviv - Yaffo.
